EXPLANATORY NOTE
The registrant is filing this Amendment to Form 10-Q solely to amend and restate the information contained in Part I, Item 4 of the registrants Form 10-Q for the quarterly period ended June 30, 2003 as originally filed with the Securities and Exchange Commission on August 14, 2003.

Our management evaluated, with the participation of our Chief Executive Officer and Chief Financial Officer, the effectiveness of our disclosure controls and procedures as of the end of the period covered by this report. Based on this evaluation, our principal executive officer and our principal financial officer have concluded that, as of the end of the period covered by this report, our disclosure controls and procedures were effective.
